ProServices Partners

Terms & Conditions

Version October 18, 2026 · Draft update awaiting legal review and publication

These Terms apply to customers, independent professionals and other ProServices users. Express acceptance is required where requested; browsing alone is not recorded as consent. Contact: proservicespartners1@gmail.com.

New milestone payments and staged payouts are not active. Current payments use the completion-based payout arrangement in section 6. This draft does not authorise new live-payment behaviour.

1. About ProServices

ProServices Partners is an online marketplace connecting customers with independent contractors, tradespeople, businesses and other service professionals. We facilitate discovery, requests, quotes, communications, written agreements and payments through the platform.

Unless a separate written agreement expressly states otherwise, ProServices is not the contractor doing the work and does not employ or act as agent for independent professionals. Each professional remains responsible for work, conduct, qualifications, insurance, permits, legal compliance and contractual obligations. Marketplace and payment-related fees are disclosed before commitment.

2. Account registration and eligibility

You must have legal capacity and authority to enter the relevant agreement. Provide accurate, current information, keep credentials secure and promptly update inaccurate details. Do not impersonate others, create fraudulent accounts, submit false information, manipulate reviews or use ProServices unlawfully.

We may request appropriate identity, business, licensing, insurance or qualification information. Suspected fraud, material misrepresentation, safety concerns or material violations may lead to restrictions subject to applicable law and the process below.

3. Professional verification

We conduct only the checks expressly offered and described on the platform. Checks vary by service and location. Approval currently means the application was accepted for listing; it does not establish independent verification of every licence, insurance policy or credential unless expressly stated.

A badge is limited to the specific checks identified. It does not guarantee workmanship, honesty, solvency, insurance coverage, continuing licensing or future performance. Customers should assess suitability and confirm relevant credentials. Professionals must not misrepresent qualifications, experience or verification status.

4. Written contract before project payment

Before any deposit, advance or project payment, the customer and professional must review and affirmatively accept the same written service contract. This requirement applies to existing unpaid jobs as well as future jobs. Existing payments and acceptance history are preserved; a quote acceptance alone is not written-contract acceptance.

The contract identifies both parties by full or legal business name; describes scope, materials, labour, equipment, inclusions and exclusions; states total price, disclosed fee, deposit, payment schedule and final balance; records expected start and estimated completion dates; allocates permit, inspection, materials and site-access responsibilities; and states workmanship standards, any offered warranty, cancellation, delays, inspection period, change, dispute and refund procedures.

The customer and professional contract directly with one another. Each may access and download the accepted version, its decisions, timestamps and approved amendments. Rejection or changed terms requires a revised version and renewed acceptance before payment. No existing version is silently replaced.

Electronic acceptance records the actor, typed name, decision, version and time. You may read and save a copy before deciding. A recorded click is not represented as a legally valid signature in every jurisdiction. Where applicable electronic-signature rules require additional disclosures or formalities, those must be satisfied before the relevant transaction; contact support for assistance or an alternative record process.

5. Scope changes and additional work

The written contract defines authorised work. Customers must not instruct substantial extra work or material changes outside the platform. Professionals must not perform chargeable extra work without prior written customer approval of the revised scope, price and schedule.

Use the platform change-order process to propose and approve changes. Approved changes are retained and attached to a revised contract requiring both parties’ acceptance before further payment. Where a needed change cannot be represented, use a new request and separate written quote and agreement before that work starts.

Unauthorised work does not automatically create a right to extra payment. Mandatory legal rights and the parties’ lawful contractual obligations remain applicable.

6. Payments, deposits and payouts

Payments are processed through Stripe using the methods offered at checkout. Full card numbers are not stored by ProServices. Amounts currently shown and collected are USD; any bank currency-conversion charge is governed by the bank. The quote and contract disclose total, deposit, included platform fee and remaining balance before authorisation. No undisclosed processing charge is added by ProServices.

Current active arrangement: after both parties accept the current contract and the customer accepts the quote, the agreed deposit is payable. A required deposit must be confirmed by Stripe before the professional starts. The balance is payable after professional completion and customer confirmation, subject to inspection and mandatory rights. A checkout return does not prove payment. Eligible professional proceeds, less the disclosed fee and permitted adjustments, are transferred only after customer-confirmed completion and Stripe payout eligibility. Account balance and provider restrictions may affect timing.

Proposed future arrangement — NOT ACTIVE: after necessary legal and provider approval and disclosure in the project contract, split the professional’s net deposit share into two instalments after the 10% fee. A $1,000 deposit has a $100 included fee and two $450 professional instalments. The first requires the disclosed initial conditions; the second requires more than 50% work completion, a progress update, supporting evidence, customer notice and affirmative customer approval plus any required provider or administrator checks. Odd-cent net shares are split with the remaining cent in the second instalment.

Additional progress-payment requests must specify amount, reason, evidence, work completed and effect on balance. Customer written approval is necessary; duplicate or above-balance requests are prohibited. Recorded payments credit the contract price. A valid approved change order is required before increasing the authorised total. Request approval alone does not collect or release funds. New progress checkout and staged payouts remain disabled pending legal/provider review.

The contract must state an inspection period and how to raise a specific documented concern. Silence is not automatic completion approval. Final balance conditions must respect the agreement, reasonable inspection and applicable law. Full upfront payment is not currently offered as a separate option; it may be offered only after lawful support and payout/refund disclosures are confirmed.

ProServices is not an escrow service, protected trust or guarantor of funds, workmanship or refunds. No legal protection, guaranteed release or refund is promised beyond actual provider arrangements and mandatory law. Unsupported milestone payouts must not be represented as completed.

7. Platform fees and transaction records

ProServices deducts a 10% marketplace fee from each confirmed customer payment, included in the accepted quote price rather than added on top. A $1,000 payment gives a $100 fee and a $900 professional share before permitted refund/recovery adjustments. The amount, calculation and timing are shown before commitment; no undisclosed fee may be added afterward.

Job records distinguish contract price, deposit, approved changes and requests, pending/failed/confirmed payments, proportional refunds, fees, recorded payout transfers and remaining balance. A pending or approved payment request is not a payment. Chargebacks and unresolved provider exceptions may need administrative reconciliation; a platform display does not override the provider’s transaction record.

8. Customer and professional responsibilities

Customers must provide accurate project information and reasonable access, review quotes and contracts, assess suitability, arrange appropriate supervision or independent inspections where needed, fulfil assigned permit duties, make authorised payments and promptly report concerns. You are not required personally to supervise every project to retain mandatory legal protection.

Professionals must use reasonable skill, care and diligence; maintain required licences, insurance, permits, registrations and qualifications; comply with safety, building, tax and other law; quote accurately; communicate delays and progress; obtain written approval for extra work; address defects as required by law and contract; and protect customer information and property.

9. No circumvention

Do not intentionally bypass ProServices to avoid disclosed fees, evade payment rules or conceal platform-originated work where this accepted agreement lawfully prohibits it. During an active platform contract, a professional must not solicit or accept related additional work off-platform unless documented and approved through ProServices.

These restrictions are limited to reasonable protection of the active marketplace transaction and do not impose an unlimited ban on customer choice or future engagements after completion. Any separately disclosed restriction must comply with competition, consumer and contract law.

We investigate reported breaches, allow a reasonable response and use proportionate measures. Recovery is limited to documented losses or contractual amounts with an enforceable legal basis. No arbitrary fine, automatic compensation charge or payment-method debit is authorised by this clause; separate notice and an opportunity to dispute are required.

10. Complaints, breaches and removal

Use the job’s Report a problem option or contact support to report unsafe work, fraud, unauthorised charges, harassment, misrepresentation or contractual breaches. Relevant evidence, platform messages and transaction records may be reviewed and a response requested.

Measures may include warnings, corrective action, temporary restrictions, suspension, removal or referral to authorities. Where practical and appropriate, affected users receive notice and an opportunity to respond. Urgent temporary restrictions may address fraud, unlawful conduct or risks to users or funds. Platform decisions do not determine the legal dispute between the contracting parties.

11. Disputes, cancellations, refunds and chargebacks

Document disagreements through the platform before escalating when reasonable. ProServices can facilitate communications and review records, but does not guarantee resolution or money recovery. Mandatory rights, provider chargeback procedures and access to competent authorities remain available.

Before a deposit is paid, a customer may cancel a request without a platform charge. After payment, request cancellation or refund through Report a problem; work done, contract terms, evidence, law and provider rules determine any outcome. This does not cancel non-waivable rights to withdraw or obtain remedies.

Approved refunds use Stripe and normally return to the original method; bank timing varies, often 5–10 business days. Refunds reduce the professional share and fee proportionately. Any overpaid professional share may be recorded and recovered from future payouts only as permitted by the accepted agreement and law, with an audit record. Unrecoverable amounts require manual review. No refund is guaranteed merely because a complaint was submitted.

12. Limits of role and liability

Except as expressly agreed separately, ProServices supplies marketplace and facilitation services, not the independent work. To the extent lawful, it is not responsible for independent non-performance, unpaid balances, defects, delays, unauthorised acts or losses caused by another party.

Nothing excludes or limits liability that cannot lawfully be limited, including mandatory consumer remedies, applicable fraud or intentional-misconduct liability, or duties arising from ProServices’ own services. Verification does not replace due diligence and no future conduct or outcome is guaranteed.

13. Insurance, permits, safety and compliance

Professionals must maintain the licences, insurance, permits and qualifications their trade and location require. Both parties must comply with applicable safety, building, environmental, employment, tax and other rules in the relevant state, district, parish or country.

Do not request unlawful or unsafe work, fraudulent transactions or regulated services from an unlicensed provider. ProServices may request compliance evidence and restrict users who cannot demonstrate required qualifications. Healthcare and other regulated professions remain subject to their specific laws; a listing is not professional advice or authority to practise.

14. Reviews, communications and conduct

Reviews must reflect genuine experiences. Threats, discriminatory abuse, knowingly false claims, harassment, undisclosed incentives, rating manipulation and disclosure of private information are prohibited. Do not interfere with accounts or misuse contact information.

Records of messages, agreements, approvals and transactions may be retained for service delivery, dispute handling, fraud prevention, administration and legal compliance under the Privacy Policy.

15. Privacy and electronic communications

Personal information is processed under the published Privacy Policy and applicable law. Necessary account verification, request, quote, contract, payment, refund, security and account communications may be sent electronically. Marketing requires applicable consent and opt-out arrangements.

Email verification, recovery and notifications depend on the configured delivery service; branded sender-domain verification is not yet complete. Delivery to every inbox is not guaranteed. In-app notices and contact support remain available; consent to these Terms does not claim all email features have been end-to-end verified or waive privacy rights.

16. Suspension and termination

You may stop using ProServices subject to valid outstanding contractual, payment and legal obligations. Material breaches, fraud, unsafe or unlawful conduct, repeated non-performance, non-payment of authorised charges, harassment, misuse of data or unlawful circumvention may lead to proportionate restriction or termination.

Termination does not extinguish valid contracts, payment obligations, refund rights or legal remedies. Records may remain where needed for lawful security, disputes and retention obligations.

17. United States and Jamaica: law and dispute resolution

Project location, parties and mandatory conflict-of-law rules determine applicable protections. US projects may be governed by relevant federal, state or district requirements; Jamaican projects may be governed by Jamaican contract, consumer, privacy and payment laws. No universal state law, exclusive court, mandatory arbitration or waiver of mandatory rights is imposed here.

Jurisdiction-specific governing-law and dispute terms must be reviewed by qualified counsel and included lawfully in the project agreement. This draft is not legal advice and remains subject to review for both countries.

18. Amendments

Material updates are communicated and affirmatively accepted where required before they apply to future transactions. Accepted project versions remain accessible; a newer Terms page does not silently rewrite a prior contract or acceptance.

Changes to project terms require a new contract version accepted by both parties. Previous Terms and contract records can be reviewed and saved.

19. Acceptance and recordkeeping

Registration requires an unchecked Terms consent box. Signed-in users must expressly accept the current Terms version, with user, version and timestamp recorded. Contract decisions separately record each party’s name, decision, version and timestamp; no pre-checked consent, silence, browsing or unrecorded signature is substituted.

Review the complete Terms and Privacy Policy before acceptance. Contact support for records or questions. Payments, refunds, verification and payouts are displayed as confirmed only when actual evidence supports the relevant state.

20. Contact

For contracts, payments, cancellations, concerns, privacy or account assistance, contact proservicespartners1@gmail.com or use the platform’s reporting tools. No company address or legal entity information is asserted beyond the details actually provided.
